Terms of Service

1. Scope and contracting parties

These Terms apply to all services provided by zwei und eins gmbh, Kistlerweg 1, 3270 Aarberg, Switzerland (hereinafter “we”, “us” or “the provider”), under the Libretto brand via libretto.ch and the associated web app.

The user (hereinafter “you”) may be either a consumer or a business. By opening an account or taking out a subscription, you accept these Terms in the version in force at the time the contract is concluded.

Any differing or supplementary terms of your own apply only where we expressly agree to them in writing.

2. Subject matter

Libretto is an online service provided as software as a service (SaaS): a vehicle-cost calculator with a digital service logbook. You record your vehicles, expenses and receipts, and Libretto calculates the cost per kilometre and per day, manages due dates and documents, and provides analyses.

The service is hosted in Switzerland (Infomaniak Network SA, Geneva). The scope of features follows the description current on libretto.ch and depends on the subscription chosen. These Terms govern use of the cloud offering we host.

3. Registration and account

To use the cloud service, you open an account. You are obliged to provide truthful information when registering and to keep your access credentials confidential.

You are responsible for all activity carried out via your account. If you suspect misuse of your account, notify us without delay.

4. Subscriptions, prices and billing

Libretto offers a permanently free tier as well as paid subscriptions. The following prices apply:

Free – CHF 0.00, permanently free.

Plus – CHF 4.90 per month or CHF 49.00 per year.

Collector – CHF 49.90 per month or CHF 599.00 per year.

Pro – CHF 12.90 per month or CHF 129.00 per year.

One-time OCR page packs – 50 pages CHF 5.90, 200 pages CHF 17.90, 1000 pages CHF 79.00, each with no automatic renewal.

All prices are in Swiss francs (CHF), including statutory value-added tax. The price shown on libretto.ch at the time of purchase or renewal is decisive.

Payment is made via our payment service provider Wallee (Switzerland). For automatic charging, your payment method is stored in tokenised form; we do not store full card details.

5. Term, automatic renewal and cancellation

Paid subscriptions are entered into for the chosen term (monthly or yearly) and renew automatically at the end of each period for a further period of the same length. The corresponding amount is automatically charged to the stored payment method at the start of each new period until you cancel the subscription.

You may cancel your subscription at any time and without notice period – via your account settings or by notifying us. Once the cancellation takes effect, your account is downgraded to the free Free tier; your own entries are retained. The details on remaining term and refunds are governed by section 8.

6. Upgrades and downgrades

An upgrade to a higher tier takes effect immediately. Amounts already paid are credited pro rata towards the new tier.

A downgrade to a lower tier takes effect at the end of the current period.

7. Payment default

If an automatic renewal payment fails, we notify you and grant a grace period of 14 days to update your payment method. If payment is still not made after that, your account is downgraded to the Free tier. Your own entries are not lost; paid features are no longer available until payment succeeds.

8. Right of withdrawal and refunds

For the distance sale of digital services, Swiss law provides no statutory right of withdrawal.

With monthly billing, the subscription runs until the end of the month already paid for; the current month is not refunded.

With yearly billing, whole months of the paid period that have not yet started are refunded pro rata upon cancellation. The month already underway, as well as one-time add-ons (e.g. OCR page packs), are not refunded.

9. Obligations and permitted use

You are responsible for the accuracy of the data you enter and for the lawfulness of the content you upload (e.g. receipts, documents, images).

You may use Libretto solely to manage your own vehicles. Reselling, subletting or otherwise making the service available to third parties, as well as any abusive or unlawful use, is prohibited.

10. Availability and warranty

The vehicle-cost calculator is a non-binding information and analysis tool based on the data you enter. The results do not constitute financial, tax or legal advice; we make no warranty as to their accuracy or fitness for a particular purpose.

We strive for the highest possible availability of the service (“best effort”) but do not guarantee any particular availability (no SLA). Maintenance work, faults or circumstances beyond our control may lead to interruptions.

11. Liability

Our liability and that of our agents is limited, to the extent permitted by law, to intent and gross negligence. Liability for slight negligence, for indirect damage, consequential damage, loss of profit and loss of data is excluded to the extent permitted by law.

You are jointly responsible for regularly backing up the data you can export.

12. Data protection and sub-processors

The processing of personal data is governed by our privacy policy, which forms an integral part of these Terms.

To provide the service, we use carefully selected processors (sub-processors), namely Infomaniak (hosting, Switzerland), Wallee (payment processing, Switzerland) and Mistral AI (optional text recognition / OCR, EU). OCR processing only takes place if you use the corresponding feature.

13. Data export and account deletion

You can export your data at any time and delete your account and the associated data at any time. Deleting your account removes your content within the bounds of what is legally and technically possible (including customary backup cycles).

14. Changes to the Terms and prices

We may amend these Terms and the prices. We will announce changes in advance in a suitable form (e.g. by email or a notice in the app).

If you continue to use the service after a change takes effect, the change is deemed accepted. Otherwise, you have the right to cancel the subscription as of the date the change takes effect.

15. Governing law and place of jurisdiction

The contractual relationship is governed exclusively by Swiss law, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction for any dispute arising out of or in connection with this contract is Biel/Bienne (Switzerland). Mandatory statutory places of jurisdiction, in particular the place of jurisdiction for consumers (Art. 32 of the Swiss Civil Procedure Code), are reserved.

16. Final provisions

Should individual provisions of these Terms be invalid or unenforceable, the validity of the remaining provisions is unaffected. The invalid provision is replaced by a rule that comes closest to its economic purpose.
